Mission of Function:

The Legal Counsel provides legal advice and guidance to the 1AP Group on various matters, including corporate governance, legal developments, and compliance requirements. The role ensures that the business units are compliant with relevant laws and regulations, assists in implementing best corporate governance practices, and provides corporate secretarial assistance for meetings and filings. 

The Legal Counsel is responsible for keeping the Group informed of relevant updates in laws and regulations and engaging with regulators and special interest groups on corporate governance matters, coordinating with various stakeholders and government agencies for transactions, and ensuring timely preparation of necessary documents. 

The Legal Counsel is involved in people development, including overseeing paralegals, mentoring the team, and participating in performance management.

 

Experience (No. of Years):

  • At least five (5 years) of relevant work experience as a licensed legal professional in a reputable law office and/or in-house counsel role, with significant experience in matters or requirements concerning corporate secretarial and compliance requirements of publicly-listed companies.
  • Possession of energy-related or -complementary experience or background is preferred
  • Work experience with the Philippine Stock Exchange and/or the Securities and Exchange Commission is an advantage.

 

Leadership:

  • Experience in managerial role, with supervision over a team

 

Education:

  • Bachelor of Laws (LL.B) or Juris Doctor (J.D.)
  • Master of Laws (LL.M.) or Master in Business Administration (MBA) is an advantage

 

License Required:

  • Member in good standing of the Philippine Bar

 

Certifications:

  • Updated MCLE and in good standing with the Integrated Bar of the Philippines (IBP) 
  • LawLab Year 1 or equivalent training with focus on energy-related courses
