Assistant Vice President for Legal and Compliance
Role Summary:
The Assistant Vice President (AVP) for Legal & Compliance is responsible for planning, leading and guiding all functions related to legal and compliance for Aboitiz Renewables, Inc. (ARI) Corp and Aboitiz Renewables, Inc. (ARI) Business Units. The position holder develops and implements strategies and manages the smooth operation of all day-to-day activities pertaining to all functions of the Legal and Compliance Team.
Responsibilities
1. Planning and Policy Development
-
Strategy Development – collaborate in the development of the medium to long-term strategic action plans of the Legal & Compliance Team (the “Strategic Plans”) in line with and to help achieve the strategic objectives of Aboitiz Renewables, Inc. (ARI).

Implement and Monitor Strategic Plans – implement and monitor the implementation of the Strategic Plans ; ensure that the Strategic Plans are fully cascaded to, understood and implemented by each Legal & Compliance team member.

Evaluation and Revisions of Strategic Plans - Evaluate the implementation of Strategic Plans to assess its effectivity and efficiency, and to revise and/or improve the same, as necessary, to ensure that the Strategic Plans remain effective and efficient amidst the ever-changing business environment.

Future Proofing – the AVP for Legal & Compliance should be able to:

Anticipate emerging trends within his/her scope of responsibility;

Advise Aboitiz Renewables, Inc. (ARI) and/or other relevant departments of these emerging trends,

Provide meaningful, relevant and timely recommendations on how to address emerging issues
-

Risk Identification, Planning and Management – the AVP for Legal & Compliance should be able to:

Identify significant legal and compliance risks,
-
Collaboratively develop and implement strategies on how to resolve and/or mitigate these risks,
-
Provide meaningful, practical, effective, and timely advice and recommendations to team leaders and other departments,
-
Ensure that the rest of the Legal & Compliance team fully understands the risks and impact of risks within their respective scopes of work, and is properly guided and advised on how to effectively address these risks.

Policy Development – the AVP for Legal & Compliance shall:

Stay abreast of existing and new relevant legislation and propose revisions to legislations and regulations concerning matters within his/her scope of work.

Attend public consultations conducted by relevant government agencies and regulators, and provide relevant comments and suggestions to policy matters in a manner that promotes, enhances and protects the interests of Aboitiz Renewables, Inc. (ARI).

2. Legal and Compliance – The AVP - Legal & Compliance shall:

Develop strategies, processes and protocols to ensure timely compliance with various laws, policies, guidelines, procedures and standards that affect Aboitiz Renewables, Inc. (ARI) and Aboitiz Renewables, Inc. (ARI) Business Units (BU) and projects.

Leads in ensuring timely compliance with existing contracts and agreements,

Leads in the conduct of regular audits of compliance and legal requirements of Aboitiz Renewables, Inc. (ARI) and Aboitiz Renewables, Inc. (ARI) Business Units (BUs), provides legal expertise, analysis, strategies and advice on various legal and compliance issues including, but not limited to, energy law, corporate law, safety, health & environment, labor, land, contracts law, taking into consideration internal and external stakeholders, and alignment with Aboitiz Renewables, Inc. (ARI) business objectives.

Develops, implements and supervises the management of a database for contract, document and compliance management and administration.

Develops and ensures implementation of a register of Aboitiz Renewables, Inc. (ARI)’s key legal and compliance issues.

Develops an effective and efficient strategy on managing the Legal & Compliance team’s stakeholders.

Leads the drafting and regular review of legal opinions/pleadings/contracts/agreements/documents for Aboitiz Renewables, Inc. (ARI) projects, including, but not limited to, legal opinions, memoranda of agreement, land contracts, etc.

Leads in negotiation with stakeholders as needed, to discuss and resolve legal & Compliance issues
3. People Management

Manages performance of personnel and processes to attain business targets and directs the implementation of corrective action when performance targets are not achieved.

Leads in the cultivation and maintenance of an organizational culture of excellence, competence and teamwork consistent with the mission and values of the Company.

Reviews training needs of key technical personnel and approves the implementation of identified training programs. In this regard, he/she shall ensure that team members achieve career growth and personal improvement, and are supplied with the proper tools to help them effectively and efficiently perform their scopes of work.

Ensures that his/her Legal & Compliance team are sufficiently motivated to perform their duties and functions.

Ensures that his/her Legal & Compliance team are sufficiently empowered to make decisions at their respective levels so that (a) decision-making is decentralized and that only relevant and significant decisions are elevated to the proper level, (b) issues that can be addressed at the team members’ level are quickly and effectively addressed, and (c) team members are empowered to make the reasonable, practical and effective recommendations to the rest of the team.
4. Other Related Tasks

Ensures that the Legal & Compliance team of SRRL conforms to the company’s Integrated Management Systems, policies, standards, procedures and guidelines.

Ensures that the corresponding processes within the controllable functions are delivering their intended output.

Ensures the promotion of customer focus throughout the organization.
-
Ensures that the integrity and quality management system is maintained when changes to the quality management system are planned and implemented.

Ensures that the responsibilities and authorities related to the international standards for relevant roles are assigned, communicated and understood within the organization.

Reports any Integrated Management System events/ incidents or potential events or other risks to the organization.

Protects information assets from unauthorized access, disclosure, modification, destruction or interference by ensuring the confidentiality of all data, information, and other matters which are private, sensitive or confidential in nature or the exposure of which to other employees, persons, entities or organizations constitutes conflict of interest with and/or poses liability or damage to the Company.

Ensures the effective, efficient and timely performance (either by himself/herself or through designation) of the Legal & Compliance team’s administrative matters, including, but not limited to, the Legal & Compliance team’s annual budget, the Legal & Compliance team’s work tools, performance evaluation of Legal & Compliance team members, and roundtable discussions.

Performs any other related duties and responsibilities that may be assigned from time to time by the immediate superior consistent with the purpose of this role.
Requirements

Education: Bachelor’s Degree in Law, Business Administration, or a related field
-
Licensure: Must be a Philippine Bar passer.

Experience: Minimum of 10 years of legal experience, with a strong focus on compliance and regulatory matters, preferably within the energy sector.

Leadership: At least 10 years of experience in a management role, demonstrating effective team leadership and development.

Government Engagement: Exposure to working with and collaborating alongside government agencies and key stakeholders in the energy sector, including but not limited to NCIP, DENR, LGUs, DOE, ERC, and NGCP.

Project Management: Solid working knowledge of project management principles, with a track record of overseeing complex legal projects from inception to completion.

Regulatory Expertise: Comprehensive understanding of regulatory frameworks and compliance requirements specific to the energy industry.
